| Initial public offer of up to 37,27,200 equity shares of face value of (Rs)10/- each ("Equity Shares") of Chatterbox Technologies Limited ( "Company" or The "Issuer") for cash at a price of (Rs)115 per equity share ( Including a Share Premium of (Rs)95 per equity share ) ("Issue Price"), aggregating up to (Rs)42.86 crores comprising a fresh issue of up to 37,27,200 equity shares aggregating up to (Rs)42.86 crores by the company ( ''Fresh Issue'' ) of which 1,87,200 equity shares aggregating to (Rs)2.15 Crore will be reserved for subscription by market maker to the offer ( The '' Market Maker Reservetion Portion'' ). the issue, less market maker reservation, i.e. net issue 35,40,000 equity shares of face value of (Rs)10 each at price of (Rs)115 per equity share aggregating to (Rs)40.71 Crore is herein after referred to as the '' Net Issue ''. the issue and net issue will constitute 26.35% and 25.03% respectively of the post-issue paid-up equity share capital of the company.
