| Initial Public Offering of 87,719,297 equity shares of face value of (Rs)10 each ("equity shares") of Nuvoco Vistas Corporation Limited ("company" or the "issuer") for cash at a price of (Rs)570 per equity share (including a share premium of (Rs)560 per equity share) ("offer price") aggregating to (Rs)5000 Crores comprising a fresh issue of 26,315,789 equity shares aggregating to (Rs)1500 Crores ("fresh issue") and an offer for sale of 61,403,508 equity shares by Niyogi Enterprise Private Limited ("promoter selling shareholder") aggregating to (Rs)3500 Crores ("offered shares") ("offer for sale", and together with the fresh issue, the "offer"). The offer constitutes 24.56% of the post-offer paid up equity share capital of the company.
