| Initial public offering of 60,77,600 equity shares of face value of
(Rs)10.00 each ("Equity Shares") of the company for cash at a price of
(Rs)173 per equity share (including a share premium of (Rs)163 per equity share) ("Offer Price") aggregating (Rs)105.14 crores ("Offer"). The offer comprises a fresh issue of 51,85,600 equity shares aggregating (Rs)89.71 crores ("Fresh Issue") and an offer for sale of 8,92,000 equity shares ("Offered Shares") aggregating (Rs)15.43 crores, by Sidharth Agarwal and Vidur Gupta (selling shareholders), (the "Offer for Sale"). This offer includes a reservation of 3,04,000 equity shares aggregating (Rs)5.26 crores (constituting 5.00% of issued paid-up equity share capital of the company) for subscription by market maker ("Market Maker Reservation Portion"). The offer less the market maker reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer shall constitute 26.32 % and 25.00 %, respectively, of the post-offer paid-up equity share capital of the company, respectively. The face value of the equity shares is (Rs)10.00 each.
